Terms of Service

1. Agreement to Terms

By accessing or using LaterCue ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and LaterCue.

2. Description of Service

LaterCue is an AI-powered productivity platform that analyzes web content you share and generates actionable tasks tailored to your business context. The Service includes:

  • AI-powered analysis of shared URLs and content using Google Gemini.
  • Task generation, prioritization, and management.
  • Business profile creation and management.
  • Bookmark importing from third-party platforms.
  • Optional integrations with third-party services (e.g., Notion).

We provide the Service on an "as is" and "as available" basis without warranties of any kind.

3. User Accounts

To use LaterCue, you must create an account using Sign in with Apple, email and password, or Google Sign-In. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized access or use of your account.

You must be at least 13 years of age to create an account and use the Service.

4. Subscriptions and Payments

LaterCue offers both free and paid subscription tiers:

  • Free: 1 business profile, up to 50 total bookmark imports.
  • Pro ($7.99/month): Up to 5 business profiles, unlimited imports, and additional features.

Paid subscriptions are billed as auto-renewable subscriptions through Apple's App Store. By purchasing a subscription, you agree to the following:

  • Payment is charged to your Apple ID account at confirmation of purchase.
  • Your subscription automatically renews unless you turn off auto-renewal at least 24 hours before the end of the current billing period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price.
  • You can manage and cancel your subscription in your device's Settings > Apple ID > Subscriptions.
  • Any unused portion of a free trial period is forfeited when you purchase a subscription.

Refunds are handled by Apple according to their refund policies. We do not process payments or refunds directly.

5. AI-Generated Content

LaterCue uses artificial intelligence (Google Gemini) to analyze content and generate tasks. You acknowledge and agree that:

  • AI-generated tasks, priorities, time estimates, and reasoning are suggestions only and may contain errors or inaccuracies.
  • You are solely responsible for reviewing, verifying, and deciding whether to act on any AI-generated content.
  • LaterCue does not guarantee the accuracy, completeness, or suitability of AI-generated output for any particular purpose.
  • AI analysis is performed by third-party services (Google Gemini) and is subject to their terms and limitations.

6. Acceptable Use

You agree not to use the Service to:

  • Share URLs containing illegal, harmful, or malicious content.
  • Attempt to reverse-engineer, decompile, or disassemble the Service.
  • Circumvent subscription limits or access features without proper authorization.
  • Use the Service to scrape, harvest, or collect data from websites in violation of those websites' terms of service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service for any unlawful purpose or in violation of applicable laws.

We reserve the right to suspend or terminate your account if you violate these terms.

7. Your Content

You retain ownership of any content you provide to the Service (URLs, business profile information, and any text you input). By using the Service, you grant LaterCue a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you (e.g., sending URLs to AI for analysis).

You are responsible for ensuring you have the right to share any content you submit to the Service.

8. Third-Party Services

The Service integrates with third-party platforms including Google Gemini, Firecrawl, Notion, Firebase, and RevenueCat. These integrations are provided for your convenience. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party integrations is subject to those services' respective terms and privacy policies.

9. Intellectual Property

The Service and its original content, features, and functionality (excluding user-provided content) are and will remain the exclusive property of LaterCue and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

10. Account Termination

You may delete your account at any time from the Settings screen in the app. Upon deletion, all your personal data, business profiles, tasks, and integration tokens will be permanently removed within 30 days.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Deleting your account does not automatically cancel an active subscription — you must cancel your subscription separately through Apple's Settings.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LATERCUE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service.
  • Any conduct or content of any third party on the Service.
  • AI-generated content, recommendations, or task suggestions.
  • Unauthorized access, use, or alteration of your data.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, through an in-app notification. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
